The Board of County Commissioners of Cecil County (the "County") and the Town of Port Deposit (the "Town") have entered into a Wastewater System Acquisition Option And Agreement dated December 1, 2009 (the "Agreement"), pursuant to which the County, as optionor, has acquired the right and option from the Town, as optionee, to acquire specified "Transferred Assets," which generally consist of the Town's wastewater treatment facility, including plant, equipment, and related real property, easements and permits. The County has acquired this option for a nominal consideration of Ten Dollars. The length of the option is six months. If the option is exercised by the County then, in consideration for the acquisition of the Transferred Assets, the County shall pay the Town a nominal consideration of One Hundred Dollars, together with the County's assumption of defined liabilities as well as the County's agreement to perform defined post-closing obligations.
The County Commissioners will hold a public hearing at the County Administration Building, 200 Chesapeake Boulevard, Elkton, Maryland, on Tuesday, December 15, 2009, beginning at 7:00 o'clock p.m., respecting the option and the proposed acquisition. At that time any person shall be heard on either side of the question. After the hearing, if the County Commissioners feel that the exercise of the option is not necessary or desirable, the option shall not be exercised, but if the County Commissioners feel that the exercise of the option is necessary or desirable, then it shall be exercised as soon as legally permissible.
